VENDOR AGREEMENT

This Vendor Agreement ("Agreement") is made and entered into by and between Narang Future Solutions Ltd., a company incorporated under the laws of India, having its principal place of business at VPOKILANO. 72/3/2/3, AKBARPUR, BAROTA, Near Govt. School, Nahra, Sonipat, Haryana, 131103

("Company"), and ________________________________________[Vendor's Full Legal Name], having its principal place of business at _______________________________________________________________________ ("Vendor").

WHEREAS, the Company owns and operates an e-commerce platform “directtocart.com” which provides a marketplace for vendors to sell their products and services; and

WHEREAS, the Vendor desires to sell products and/or services on the directtocart.com platform and agrees to abide by the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises, covenants, warranties, and representations set forth herein, the parties agree as follows:

1. Discount and Pricing Policy
- The Vendor has the autonomy to set their prices, inclusive of GST, discounts & offers which will be considered final on the Vendor dashboard.

2. Transaction and Payment Terms - Payments to the Vendor will be made within 5 working days from the date of delivery, after deducting any fee if applicable from the total sales of the Vendor.

3. Product Restrictions
- The Vendor agrees not to list or sell any fragile items, including but not limited to drugs, alcohol, cigarettes, and related items on directtocart.com.

4. Counterfeit and Duplicate Product Policy
- Vendor Liability: The Vendor assumes full legal responsibility for any violations, including all related costs and legal consequences. The Vendor has to cover all the Company's losses and legal costs if there are any rule breaks.

5. Return and Refund Policy
- The Vendor is responsible for any incorrect or damaged goods shipped and must replace them at their own expense.
- The Vendor is recommended to take a video during the packing process as proof of the condition and accuracy of items shipped.

6. Term and Termination. Any disputes arising out of this Agreement shall be resolved through arbitration in accordance with the laws of India.
- This Agreement shall commence on signed date and shall continue unless terminated by either party with a 60 days notice.
- Either party may terminate this Agreement with cause upon written notice to the other party.

7. Jurisdiction and Legal Compliance
- This Agreement shall be governed by and construed in accordance with the laws of India. The jurisdiction for any legal matters will be Sonipat, Haryana, India.
